The definitive agreements build on the partnership announced recently, and offer the framework for the formation, capitalization, governance, and process of AIM Florida, LLC, a doctor-aligned management solution organization, involving management solution arrangements with affiliated healthcare entities. Vivos expects to hold a 75% majority of the membership and economic interests in AIM Florida, subject to applicable regulatory requirements and the terms of the definitive agreements.
The parties are assessing significant potential locations and negotiating a lease for the initial services. Subject to site selection, lease execution, build-out, licensing, payer enrollment, staffing, and other customary startup needs, the center is expected to begin managing patients and generating revenue in the first quarter of 2027.
The management plan calls for an initial fully staffed Sleep Optimization Team able to serve around 250 patients per month. Based on its operating experience in Las Vegas and current assumptions, Vivos believes the initial team, once completely deployed, will generate up to $6 million in annual revenue with contribution margins of 30% or more. Additional teams may be added as needs develop. SPCVA physicians and staff work to increase the referral base to involve other local healthcare solutions managing patients with similar sleep disorder challenges.
SPCVA is a multi-location, physician-owned cardiology solutions provider with about 30,000 patients of record. Its cardiologists have long recognized the serious health risks that undiagnosed and untreated OSA can present for patients with heart disease and have sought more dependable access to comprehensive sleep testing and management solutions in their market.

The planned South Florida SAMC is expected to integrate sleep testing, healthcare evaluation, and a range of management options selected by licensed managing professionals. Those options may involve positive airway pressure therapy, FDA-cleared oral appliances, advanced laser therapy, myofunctional treatment, and other healthcare-appropriate modalities. Vivos CARE appliances are the only oral medical devices FDA-cleared to manage moderate to severe OSA in adults and children ages 6-17.
